Supplier/Collaborator Declaration
To: Suzhou Jite Electric Co., Ltd
The declarant is a supplier/collaborator of Jite Electric and its affiliated enterprises (hereinafter collectively referred to as Jite), who has come into contact with Jite's relevant personnel and information in relevant business activities (including transaction negotiations, supply, services, contracting, technical cooperation exchanges, and other performance of transaction contracts), and voluntarily makes the following declaration in the process of providing products and services, conducting exchanges and cooperation for Jite:
1、 Declaration of honesty and trustworthiness
1. Suppliers/collaborators who provide qualification certificates (including franchising), licenses, enterprise and personal profile information, residences, product names, specifications, quality, service standards, bills, warrants, rights restrictions, and other information during the transaction and cooperation process with Jite are true and free from any false, forged, or altered behavior. If there are changes to the relevant information mentioned above, the cooperating party should notify Jite as soon as possible in a reasonable time, and always implement honesty and trustworthiness in all stages of trading and cooperation.
2. Suppliers/collaborators shall take sufficient and effective measures to prevent employees of suppliers/collaborators from violating the declaration of honesty and trustworthiness, establish corresponding evaluation mechanisms for integrity principles or business ethics standards within collaborators, educate and require employees of suppliers/collaborators to strictly comply.
2、 Declaration of integrity and self-discipline
1. Suppliers/collaborators, their employees, and affiliated enterprises shall not bribe Jite personnel to eat, drink, and play, or give any benefits or kickbacks (including but not limited to payment vouchers such as money, gifts, various securities, credit cards, etc.), or reimburse any expenses that should be paid by Jite.
2. Suppliers/collaborators, their employees, and affiliated enterprises shall not in any way incite or induce internal personnel or third parties of Jite to engage in matters that harm Jite's interests.
3. Suppliers/collaborators, their employees, and affiliated enterprises agree to boycott and expose the behavior of soliciting and accepting bribes to Jite. If Jite personnel demand any benefits or kickbacks (including but not limited to money, gifts, various securities, credit cards, and other payment vouchers), they should report to Jite's highest responsible person or Jite President's office within three days of the incident.
4. Never induce personnel of Jite Company to secretly or tacitly reduce or expand their contractual rights or obligations, and do not influence transactions or harm the interests of Jite Company through means such as joint ventures, cooperation, absorption of shares, profit sharing, etc. with Jite Company personnel.
5. Suppliers/collaborators shall promise to take sufficient measures to prevent their employees and affiliated enterprises from violating the integrity and self-discipline declaration, establish corresponding integrity mechanisms or business ethics standards within the suppliers/collaborators, educate and require their employees to strictly comply.
3、 Fair Competition Statement
1. All products manufactured or assembled by suppliers/collaborators and provided to Jite or third parties must be safe for planned or expected use, and meet the quality standards of relevant agencies or departments.
2. Suppliers/collaborators must comply with relevant competition laws and regulations in their business dealings, and shall not produce counterfeit or unauthorized products for any customer.
3. Suppliers/collaborators promise to take full and effective measures to ensure fair trading and fair competition, and maintain market economic order.
4、 Confidentiality Obligation Statement
1. The supplier/collaborator agrees to the scope of confidential information listed by Jite in accordance with the confidentiality system, including all written, oral, or other audio-visual information related to Jite's value, which has not been disclosed, whether confidentiality measures have been or are being taken. The above confidential information includes confidential information of all affiliated enterprises and customers managed by Unite, including those obtained by the declarant through legal, third-party, or abnormal channels. The declarant has a confidentiality obligation and shall not disclose or deliver to any third party without the written consent of Unite. The declarant confirms that the above confidentiality obligation is based on the transaction conditions reached by Jite as consideration, and is legal and paid.
2. Suppliers/collaborators shall take sufficient and effective measures to prevent their employees from violating confidentiality obligations.
5、 Liability for breach of contract
If the supplier/collaborator and their employees violate this statement, they shall bear a penalty of 20% of the contract transaction amount. Collective has the right to unilaterally terminate the order/contract/engineering or other forms of cooperation with the supplier/collaborator. Any losses and expenses incurred by Collective as a result shall be borne by the supplier/collaborator, and may be directly deducted from the order/contract/engineering settlement payment, And require suppliers/collaborators to bear corresponding compensation and legal responsibilities.
This statement is a supplement to all cooperation agreements/orders/contracts signed between the supplier/collaborator and Jite, and has full legal effect. The supplier/collaborator confirms that they have carefully read and understood this statement before signing and stamping, and will strictly abide by it.
This statement is made in duplicate, with each party holding one copy, with equal legal effect.
